access to and use of Pinsot services
Introduction and scope
Pinsot is a product operated by Dakoli LLC, a California limited liability company. This document explains the rules, rights, procedures, and responsibilities that apply to access to and use of pinsot services
Pinsot provides subscription software and technology for nail salon operations in a global market. Salons are independent businesses that provide nail, beauty, wellness, and related services to their clients. Unless a document expressly says otherwise for a specific transaction, the salon—not Pinsot—is responsible for its services, prices, technicians, schedules, employment relationships, commissions, taxes, refunds, client care, licensing, sanitation, and regulatory compliance.
The English version is the controlling version unless applicable law requires otherwise. The Vietnamese translation is provided for meaningful access and convenience and is intended to preserve the same substance.
Agreement, eligibility, and authority
By creating or using an account, accepting an order, or accessing Pinsot on behalf of a salon, you agree to these Terms and represent that you can form a binding agreement. You must be at least the age of legal majority where you live and may not use Pinsot if law prohibits the use. If you act for a business, you represent that you have authority to bind it and that business is responsible for its authorized users.
A salon organization may contain locations, roles, and permissions. The salon must provide accurate registration information, keep authorized-user details current, designate responsible administrators, and promptly remove access when duties or relationships change. Pinsot may rely on instructions from authorized administrators within the permissions shown by the service.
Accounts and security
Each person must use an individual account and protect credentials, devices, recovery methods, and verification codes. You must notify Pinsot promptly of suspected unauthorized access and cooperate with reasonable containment and verification steps. You remain responsible for activity performed through credentials you knowingly share or fail to protect, except where applicable law provides otherwise.
Pinsot uses authentication, role, tenant, and location boundaries reflected in the repository, but no service is perfectly secure or continuously available. You may not bypass permissions, impersonate another person, or use a shared account to conceal responsibility. Salons remain responsible for configuring appropriate roles and reviewing access.
Pinsot services and independent salons
Pinsot may provide appointment, walk-in, waitlist, turn, client-record, checkout, payment-recording, tip, commission-estimate, report, inventory, messaging, booking, mobile, and AI-assisted workflows. Availability depends on the workspace, plan, market, provider readiness, permissions, and feature status. Preview and planned capabilities are not guaranteed production features.
Pinsot supplies software and technology services. It does not provide salon services and is not the employer, joint employer, staffing agency, franchisor, partner, agent, bank, accounting firm, payroll provider, law firm, healthcare provider, or insurer of a salon or technician. Salons decide how to serve clients and manage personnel, subject to law and their own agreements.
Bookings, services, turns, and client care
A booking or wait estimate is not a guarantee that a salon will provide a service at a particular time, price, duration, or with a particular technician. The salon controls availability, service descriptions, pricing, deposits, cancellation rules, refunds, technician qualifications, sanitation, client accommodations, and resolution of service complaints. Clients must address salon-service concerns with the salon, while platform or account concerns may be directed to Pinsot.
Turn and scheduling tools organize information and may offer explainable recommendations. Salons must establish lawful rules, honor explicit client requests, review eligibility and overrides, and keep high-impact workforce decisions with authorized people. Pinsot does not determine worker classification, discipline, scheduling rights, compensation, or employment status.
Payments, tips, commissions, and reports
Pinsot may record or facilitate payment-related workflows through third-party providers. Unless Pinsot expressly states that it is merchant of record for a transaction, the salon remains the merchant and is responsible for charges, receipts, taxes, disputes, refunds, chargebacks, and compliance. A status recorded in Pinsot must not be treated as proof that funds moved when an external provider has not confirmed the result.
Tips, commission calculations, payroll inputs, tax estimates, sales reports, and accounting exports are operational aids that depend on accurate source data and configured rules. Salons must review them and use qualified payroll, tax, accounting, employment, or financial professionals where appropriate. Pinsot does not promise that an estimate is legally due, tax-correct, or suitable for filing or payment.
Subscriptions, trials, fees, renewal, and cancellation
Plan names, prices, billing cycles, included features, trials, promotional access, taxes, renewal timing, proration, usage charges, add-ons, cancellation effects, and refund eligibility are governed by the order, checkout disclosure, or written agreement presented to the salon. Pinsot will not invent terms that are not configured or agreed. By providing an approved payment method, the customer authorizes recurring charges described at checkout until cancellation takes effect.
Customers must review renewal and cancellation disclosures before ordering. Unless the applicable order says otherwise, cancellation stops a future renewal and does not automatically refund the current paid period. Failed or past-due payments may limit access after required notice and lawful cure opportunities. Material pricing changes will be communicated as required by the agreement and applicable auto-renewal or consumer law.
Salon data, user content, ownership, and feedback
As between Pinsot and the salon, the salon retains its rights in salon data and user content, subject to client rights and applicable law. The salon grants Dakoli LLC a limited, nonexclusive license to host, process, transmit, display, back up where verified, and otherwise use that content only to provide, secure, support, improve, and comply with law for the services. Users must have all necessary rights and permissions for content they submit.
Pinsot and its licensors own the software, design, documentation, trademarks, and other platform materials. These Terms grant only a limited, revocable, nontransferable right to use the service for authorized internal business purposes. Feedback may be used without restriction or payment, but Pinsot will not intentionally identify the contributor publicly without permission.
Acceptable use and prohibited conduct
You may not use Pinsot unlawfully; infringe rights; access another tenant; distribute malware; scrape or overload systems; abuse APIs; send spam or unlawful messages; harass or discriminate; falsify salon, client, appointment, turn, payroll, commission, or financial data; manipulate turns; evade audit history; reverse engineer protected components except where law permits; or submit data you lack authority to process. The Acceptable Use Policy provides additional rules.
Pinsot may investigate suspected misuse, preserve relevant records, restrict features, suspend access, or terminate accounts when reasonably necessary to protect people, data, service integrity, or legal compliance. Where appropriate and lawful, Pinsot will provide notice and an opportunity to explain or appeal. Emergency action may occur first when delay creates material risk.
Third-party services, integrations, APIs, and AI
Third-party services are governed by their own terms and availability. Pinsot does not control an external provider and is not responsible for its independent acts, outages, data practices, or transaction decisions, except to the extent law requires. Customers must configure integrations lawfully, protect credentials, and review data flows before enabling them.
AI-assisted features are review-first and may be inaccurate, incomplete, or inappropriate. Users must verify inputs and outputs and must not allow AI to independently make irreversible employment, financial, disciplinary, safety, legal, medical, or account-termination decisions. Do not submit passwords, secrets, full payment information, unnecessary health details, or other prohibited sensitive data to AI features.
Preview features, service changes, and availability
Preview, beta, experimental, or planned features may change, contain errors, be limited by market or customer, and be withdrawn. They are provided for evaluation under any additional notice shown with the feature. Pinsot may modify or discontinue service elements for security, legal, provider, operational, or product reasons and will give appropriate notice when a material contracted capability is affected.
Maintenance, internet conditions, customer devices, external providers, emergencies, and other events may interrupt service. Pinsot does not promise uninterrupted or error-free availability. Customers should maintain reasonable continuity procedures and required source records rather than relying on Pinsot as the only accounting, payroll, tax, employment, regulatory, or safety record.
Suspension, termination, and data export
A customer may cancel under its order. Pinsot may suspend or terminate access for material breach, nonpayment, security risk, unlawful conduct, harm to users or the service, or as otherwise permitted by the agreement and law. Pinsot will use proportionate measures and notice or cure opportunities when appropriate; urgent restrictions may be immediate.
After termination, access ends as described in the order and applicable policy. Available export methods, formats, and retention periods depend on product capability, customer instructions, legal obligations, dispute preservation, and security needs. Customers should request exports before access ends and retain their legally required business records independently.
Disclaimers and limitation of liability
To the maximum extent permitted by law, Pinsot is provided on an “as is” and “as available” basis, and Dakoli LLC disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant that outputs, estimates, translations, recommendations, reports, integrations, or third-party services are accurate, complete, or suitable for a customer's legal or professional obligations. Rights that cannot lawfully be disclaimed remain in force.
To the maximum extent permitted by law, Dakoli LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, business opportunities, or data, arising from Pinsot. Dakoli LLC's aggregate liability for claims relating to the service will not exceed amounts paid or payable by the customer for Pinsot during the twelve months before the event giving rise to the claim. These limits do not apply where prohibited or to liability that law does not allow the parties to limit.
Indemnification
To the extent permitted by law, a business customer will defend and indemnify Dakoli LLC and its personnel against third-party claims arising from the customer's salon services, unlawful or unauthorized content, violation of these Terms, infringement of rights, messaging without valid consent, employment or compensation decisions, taxes, refunds, or misuse of Pinsot. This obligation does not cover claims caused by Dakoli LLC's own breach, gross negligence, or willful misconduct to the extent finally determined.
Dakoli LLC will provide reasonable notice and cooperation and allow the customer to control the defense, but no settlement may admit fault by or impose obligations on Dakoli LLC without written consent. Consumer rights and limitations that cannot be waived remain unaffected.
Governing law and disputes
These Terms are governed by California law, without regard to conflict-of-law rules, subject to mandatory consumer protections and other local law that cannot be waived. Courts located in California will have nonexclusive jurisdiction unless applicable law gives a consumer the right to bring a claim elsewhere. The parties should first send a written description of the dispute and requested resolution to legal@pinsot.com and allow thirty days for good-faith informal discussion.
These Terms do not presently impose a mandatory arbitration agreement or class-action waiver. Any future arbitration provision would require conspicuous disclosure, a meaningful opt-out process, updated acceptance, and legal review before becoming effective. Nothing prevents either party from seeking urgent injunctive relief, using an eligible small-claims process, or reporting a matter to a regulator or law-enforcement authority.
International use, export controls, and general terms
Users outside the United States are responsible for laws applicable to their use, including consumer, employment, privacy, messaging, tax, licensing, and salon-service rules. You may not use or export Pinsot in violation of sanctions or export-control law or for prohibited end users or purposes.
Dakoli LLC may assign these Terms in connection with a merger, acquisition, reorganization, or sale of relevant assets; customers may not assign without consent except where the order permits. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder continues. Failure to enforce is not a waiver. These Terms, applicable orders, and incorporated policies are the entire agreement on their subject. Notices and electronic records may be delivered through the service or provided contact information.
Changes, language, and contact
This document is version 2026.07.20, effective and last updated July 20, 2026. We may update it to reflect product, legal, safety, or operational changes. Material changes will be communicated through an appropriate public or in-product notice when reasonably required. Continued use after an effective change is governed by applicable law and any notice or consent that law requires.
